By downloading or making any use of the images on this site, you acknowledge
on behalf of yourself and any organization which makes use of the image that you
have read and understand and agree to this Image Usage Agreement. If you do not
agree to these terms and conditions, do not download or use any image in any
way. The images are being provided to you free of charge in consideration of
your agreement to these terms.
Use of all images on this site is subject to the prior approval of Lucasfilm.
You may not access this site or use any images unless Lucasfilm’s Public
Relations department has provided you with specific approval to access the site
and use one or more specific images. You will be provided with a password to
access the site. You may not provide the password to any other person. You may
not reuse the password unless specifically permitted by Lucasfilm’s Public
Relations department.
You may use the image solely for journalistic, editorial use. This right to
use is personal to you and the organization you represent and is not
transferable by you to another party. Images cannot be used for, in, to promote,
or sell any product whatsoever (such as in advertising, brochures, books, stock
photos, or merchandise). You may not alter or modify any image, in whole or in
part, for any reason. You must include the credit notice and the copyright and
trademark notice specified for each image with each and every use of such image,
and you agree not to delete or alter such notices.
As between you and Lucasfilm, Lucasfilm is and shall remain the sole and
exclusive owner of all right, title and interest in the images. The images are
provided by Lucasfilm on an ‘as is’ basis, without warranty of any kind,
including non-infringement or ownership. As between you and Lucasfilm, you are
solely responsible for obtaining all required individual authorizations,
releases, consents, clearances and licensees (the “Releases”) as may be
necessary with respect to the use of the images, including, without limitation:
(a) written releases from all individuals whose likenesses or performances are
contained in the image; and (b) written releases from any unions or guilds to
the extent required under applicable collective bargaining agreements in
connection with the use of the images. You shall be solely responsible for any
fees and other payments required in connection with the Releases and shall
furnish Lucasfilm with copies of all such Releases upon request.
You warrant and represent that you have the right to enter into and perform
this Agreement on behalf of yourself and any organization you represent, and
that you will not do or authorize any acts which would render Lucasfilm liable
for any damages, claims, costs or expenses, or which in any way might jeopardize
the goodwill or any intellectual property rights of Lucasfilm. You further
warrant and represent that the incorporation of the image into any publication
shall in no way affect Lucasfilm’s continued and separate copyright ownership in
the images and/or the motion picture(s) from which the image were taken or
derived and that the copyright ownership of Lucasfilm. You shall indemnify,
defend and hold harmless Lucasfilm, its directors, officers, agents and
employees against all costs, expenses (including attorneys’ fees and costs,
whether or not in connection with litigation), claims, damages, liabilities or
losses of whatever kind arising from or relating to: (a) any breach or alleged
breach by you of any of your representations, warranties or agreements made or
assumed herein; and/or (b) your use of the images. You recognize and acknowledge
that a breach by you of any material terms of this Agreement will cause
Lucasfilm irreparable damage, which cannot be readily remedied in damages in an
action at law, and may, in addition thereto, constitute an infringement of
Lucasfilm’s intellectual property and other rights in the images, thereby
entitling Lucasfilm to injunctive relief.
This Agreement will be governed by the laws of the State of California, as
applied to agreements made and performed entirely within California. You agree
that any dispute arising under this Agreement will be resolved in the state or
federal courts within the Northern District of California and each you expressly
consent to jurisdiction therein.
